Description
ESSENTIAL DUTIES AND RESPONSIBILITIES:
Handle commercial real estate transactions from inception through closing, including drafting and negotiating letters of intent, purchase and sale agreements, amendments, and closing documents.
Conduct and manage due diligence review, including analysis of title commitments and policies, surveys, zoning matters, easements, restrictive covenants, environmental reports, leases, and related real estate documents.
Draft, review, and negotiate commercial leases and related ancillary documents on behalf of landlords and tenants, including office, industrial, retail, and build-to-suit arrangements, easements and access agreements, property management agreements, subordination, non-disturbance and attornment agreements, and estoppel certificates.
Provide day-to-day counseling to clients on real estate development matters, land use and zoning compliance, permitting, and regulatory approvals.
Advise lenders and borrowers in real estate finance transactions, including preparation and negotiation of loan agreements, promissory notes, mortgages, security agreements, guaranties, and related collateral documentation.
Support corporate and business transactions involving real estate assets, including coordinating real estate due diligence, drafting real estate transfer documents, addressing title and survey issues, and assisting with pre- and post-closing matters.
Structure and document real estate joint ventures, development agreements, and ownership arrangements, including limited liability company and partnership considerations related to property ownership.
Represent clients in resolving real estate disputes, including title claims, boundary disputes, landlord-tenant matters, and contract enforcement issues, primarily through negotiation, but, when necessary, with litigation support.
Collaborate with attorneys across practice groups to provide comprehensive counsel on real estate matters impacting mergers and acquisitions, financing transactions, tax planning, and succession strategies.
QUALIFICATIONS AND EDUCATION REQUIREMENTS:
2 to 5 years of substantive experience in commercial real estate transactions in a business law firm environment
Excellent research, writing, and analytical skills
Ability to manage complex projects with precision and sound judgment in a fast-paced environment
Strong interpersonal and communication skills, with a commitment to collaboration and client service
J.D. from an ABA-accredited law school
Admitted to practice or eligible for admission to practice in the State of Wisconsin
